NOTICE OF APPLICATION OF EVERGREEN HEALTH, INC. TO CONVERT TO FOR-PROFIT ENTITY AND NOTICE OF HEARING
 
 
Pursuant to §6.5-202(a) of the State Government Article, Annotated Code of Maryland, the Maryland Insurance Administration is required to publish notice when it receives an application to acquire a non-profit health entity.  On May 1, 2017, the Maryland Insurance Administration received an application relating to the acquisition of Evergreen Health, Inc.
 
The parties wishing to acquire Evergreen Health, Inc. are:

• JARS Health Investments, LLC
• Anne Arundel Health System, Inc.
• LBH Evergreen Holdings, LLC
 
A general description of the contents of the application:  Evergreen Health, Inc. (Evergreen Health) seeks to convert to a for-profit entity under Title 6.5 of the State Government Article.  After the conversion, the for-profit Evergreen Health entity will be acquired pursuant to §7-304 of the Insurance Article by JARS Health Investments, LLC, Anne Arundel Health System, Inc., and LBH Evergreen Holdings, LLC.
 
The Maryland Insurance Administration is required to hold a public hearing relating to the application.  The hearing will be held from 9 am to 1 pm on June 7, 2017 (June 13, 2017 is scheduled as an additional date for the hearing, if needed) at the Maryland Insurance Administration, 200 St. Paul Place, 24th Floor, Hearing Room, Baltimore, MD 21202.
 
Interested parties are invited to attend the hearing and/or provide written comments.  Written comments should be sent to S. Lynn Beckner, Chief Financial Analyst, either by email to Evergreen.MIA@Maryland.gov or by mail to Examination & Auditing Unit, Maryland Insurance Administration, 200 St. Paul Place, Suite 2700, Baltimore, Md. 21202 or by fax to 410-468- 2101.  Deadline for submission of written comments regarding this application is June 7, 2017.
